Terms of Service

1. Service Description

Varden ("the Service") is a personal AI companion operated by Techson Tecnologias Online Lda (NIF 515616222, Portugal). Varden helps you manage finances, meals, health, home, relationships, and documents through conversation with an AI assistant that builds a personalised memory graph of your life.

2. Account Creation and Security

• You must be at least 16 years old to create an account.
• You must provide accurate information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately at support@varden.app if you suspect unauthorised access.
• One person per account. Sharing account credentials is prohibited (Family plans have separate accounts per member).

3. Subscription Tiers and Billing

Varden offers the following subscription tiers:

• The Free tier includes limited usage. Feature limits are displayed in-app.
• Paid subscriptions are billed in advance via Stripe. Prices include VAT where applicable.
• You may upgrade, downgrade, or cancel at any time. Changes take effect at the next billing cycle.
• Failed payments will be retried for up to 14 days before the subscription is suspended.

4. EU Consumer Right of Withdrawal

If you are a consumer in the EU/EEA, you have the right to withdraw from a paid subscription within 14 days of purchase without giving any reason. To exercise this right, contact us at support@varden.app with a clear statement of your decision. We will refund your payment within 14 days of receiving your withdrawal notice.

If you expressly consent to begin using the Service before the withdrawal period expires and acknowledge that you lose the right of withdrawal, the withdrawal right does not apply to the period already consumed.

5. Acceptable Use

You agree not to use Varden to:

• Process personal data belonging to third parties without their explicit consent
• Engage in any illegal, fraudulent, or harmful activity
• Attempt to extract, reverse-engineer, or replicate our AI system prompts, algorithms, or models
• Circumvent usage limits, rate limits, or security measures
• Upload malware, viruses, or malicious content
• Harass, abuse, or harm others through the Service
• Use the Service for commercial purposes beyond personal/family use without a B2B agreement

6. User Content

You own your content. All conversations, uploads, memory facts, documents, and data you provide to Varden remain your property. By using the Service, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing and improving the Service.

• We do not sell your data.
• We do not use your data to train AI models.
• You may export all your data at any time via Settings > Privacy > Export.
• You may delete all your data at any time. Deletion is permanent and completed within 30 days.

7. AI Limitations and Disclaimers

Varden uses AI to provide assistance and suggestions. You acknowledge and agree that:

• Varden does not provide medical advice, diagnosis, or treatment. Health features are for informational and tracking purposes only.
• Varden does not provide legal advice. Always consult a qualified lawyer for legal matters.
• Varden does not provide professional financial or investment advisory services. Financial features help you track and organise, not advise.
• AI responses may contain errors, inaccuracies, or hallucinations. Always verify critical information independently.
• In case of medical emergency, call 112 (EU) or your local emergency number immediately. Varden is not an emergency service.

8. Intellectual Property

• The Varden name, logo, design, code, and AI system are the intellectual property of Techson Tecnologias Online Lda.
• You may not copy, modify, distribute, or create derivative works from the Service.
• AI-generated responses provided to you may be used freely for your personal purposes.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind.
• We are not liable for any decisions you make based on AI suggestions or outputs.
• Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• Nothing in these terms excludes liability for fraud, gross negligence, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

10. Termination

User-Initiated

• You may delete your account at any time via Settings > Account > Delete Account.
• You may cancel your subscription at any time. Access continues until the end of the current billing period.
• You may hibernate your account to pause all processing while preserving your data.

Provider-Initiated

• We may suspend or terminate your account for violation of these Terms, with notice where practicable.
• We may terminate the Service entirely with at least 90 days prior notice, during which you may export all your data.
• If we terminate your account without cause, we will provide a pro-rata refund for any unused prepaid period.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Portugal. Any disputes arising from or related to these Terms shall be submitted to the competent courts of Portugal.

Nothing in these Terms affects your rights as a consumer under mandatory EU consumer protection laws of your country of residence.

12. Dispute Resolution

We encourage you to contact us first at support@varden.app to resolve any disputes amicably.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
